1. Agreement to terms
These Terms & Conditions (the “Terms”) form a binding agreement between you and Kayit (“we”, “us”, “our”) governing your use of the Kayit application for macOS and this website (together, the “Service”). By downloading, installing, or using Kayit, you agree to these Terms. If you do not agree, do not use Kayit.
2. Apple App Store terms & the standard EULA
Kayit is distributed through the Apple App Store. Your use is also subject to Apple's Licensed Application End User License Agreement (“Standard EULA”). These Terms supplement the Standard EULA. Where these Terms are silent, the Standard EULA applies; where these Terms add detail specific to Kayit, they control to the extent permitted. You acknowledge that:
- The license granted is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
- Apple is not a party to these Terms and is not responsible for Kayit or its content. Apple has no obligation to provide support for Kayit.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
3. License grant
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use Kayit for your own lawful personal or professional purposes. This is a license, not a sale; we and our licensors retain all rights, title, and interest in Kayit that are not expressly granted to you.
4. Acceptable use
You agree that you will not:
- Use Kayit for any unlawful purpose or in violation of any applicable law or regulation, including laws governing the recording of conversations, consent, wiretapping, privacy, and data protection in your jurisdiction;
- Copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of Kayit, except to the extent this restriction is prohibited by applicable law or permitted by the license terms of its open-source components;
- Rent, lease, lend, sell, redistribute, or sublicense Kayit;
- Remove, obscure, or alter any proprietary notices or attributions.
Recording is your responsibility. Laws about recording conversations and interviews vary widely by country and region — some require the consent of all parties. You are solely responsible for obtaining any necessary consents and for complying with all laws applicable to your recordings and their use.
5. Your content
Kayit processes your audio, transcripts, quotes, and related files entirely on your device. We do not receive, access, store, or claim any ownership of your content. As between you and us, you retain all rights to your content, and you are solely responsible for it, including maintaining your own backups.
6. On-device processing & model downloads
Kayit performs transcription and related processing locally. To function, it downloads machine-learning models over the internet on first use, as described in our Privacy Policy. You are responsible for any data or bandwidth charges associated with these downloads. Availability of a model download depends on third-party hosting that we do not control.
7. Third-party and open-source components
Kayit incorporates third-party open-source software and machine-learning models, each provided under its own license (including the MIT and Apache 2.0 licenses, the SIL Open Font License, and the Meta Llama 3.2 Community License). Kayit is “Built with Llama.” The applicable notices and full license texts are provided within the app's Acknowledgements. Your use of those components is governed by their respective licenses, which in case of conflict control over these Terms with respect to those components.
8. Beta software
Kayit may be offered as a beta or pre-release version. Beta software may contain errors, may change or be discontinued, and may produce inaccurate results. It is provided for evaluation on an “as is” basis without any commitment to release, support, or maintain it.
9. No warranty
To the maximum extent permitted by applicable law, Kayit is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that Kayit will be uninterrupted or error-free, or that transcriptions, speaker labels, summaries, or other outputs will be accurate or complete. Automated transcription can contain errors; you are responsible for reviewing and verifying any output before relying on or publishing it.
10. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Kayit be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or sources, arising out of or relating to your use of or inability to use Kayit, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid for Kayit or USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Kayit from any claims, damages, liabilities, and expenses arising out of your misuse of Kayit or your violation of these Terms or of any law or the rights of a third party, including in connection with how you record, transcribe, or use interview content.
12. Termination
These Terms apply until terminated. Your rights under them end automatically if you fail to comply with any of their provisions. Upon termination, you must stop using Kayit and delete it. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination.
13. Export compliance
You agree to comply with all applicable export and re-export control laws and regulations. Kayit uses only standard, exempt encryption (HTTPS/TLS) and is declared accordingly.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of Kayit after changes take effect constitutes acceptance of the revised Terms.
15. Governing law
These Terms are governed by the laws of the United States and the state in which the developer resides, without regard to conflict-of-laws principles, and subject to any mandatory consumer-protection laws of your country of residence. Nothing in these Terms limits any statutory consumer rights that cannot be waived.
